Terms of Service
These terms are a contract between you (or the organisation you represent) and Odyssey Developments (“Odyssey”, “we”), the operator of Wardeye. By using Wardeye, you agree to them.
1. The service
Wardeye is software that helps people check whether someone asking for a payment, a bank-detail change or another sensitive action is who they claim to be. It includes this website, the web app at wardeye.tech/app, the Wardeye Mac app and engine, the Wardeye iPhone/Android apps, and related cloud services (together, the “Service”). Features vary by plan and by release; some are in beta and labelled as such.
2. Accounts and organisations
- By invitation. The business portal is available to approved business partners and people they invite. We may decline or end access at our discretion.
- You must be at least 18 and able to form a binding contract. If you sign up for an organisation, you confirm you have authority to bind it, and “you” includes that organisation.
- Keep your sign-in methods secure. You are responsible for activity under your account and for the people you invite, including their roles (owner, admin, principal, requester).
- Provide accurate information and tell us promptly about any suspected unauthorised access.
3. Pilots, plans and payment
- Pilots. Wardeye is offered to businesses by agreement. A pilot or evaluation runs for the period, scope and fees set out in an order form or email we both accept. Features and limits during a pilot may differ from paid plans, and either party may end a pilot on written notice.
- Paid plans. Fees, seat counts, billing period and renewal are set in your order form or in the app’s Billing page. Amounts are in US dollars and exclude taxes unless stated. Where a subscription renews automatically, it renews for the same period until cancelled. Card payments are processed by Stripe; we do not receive or store full card numbers.
- Cancelling. You can cancel as set out in your order form or, for self-serve subscriptions, in Billing. Cancellation takes effect at the end of the current paid period. Except where law requires, fees are non-refundable.
- Changes. We may change prices or plans for future renewal periods with at least 30 days’ notice before your next renewal.
4. Your responsibilities
- Use Wardeye only in line with our Acceptable Use Policy and applicable law.
- Consent and notice. You are responsible for giving every person whose face, voice, writing or communications Wardeye analyses the notices and obtaining the consents that law requires, before analysis begins. This includes written release for biometric enrolment (see our Biometric Data Notice) and any notice or consent required for call analysis or mailbox access in the places where you and the other party are located. Some jurisdictions require every party’s consent before a call is monitored or transcribed.
- Do not enrol anyone who has not agreed, and honour withdrawal and deletion requests promptly.
- Keep your own security controls. Wardeye is an additional layer, not a replacement for approval workflows, call-back procedures, dual authorisation or fraud controls (see Disclaimers).
5. Your data
You keep ownership of the data you put into Wardeye (“Customer Data”). You give us the limited right to host, process and transmit it to provide and secure the Service, as described in our Privacy Policy. For personal data in Customer Data, you are the controller (or business) and we act as your processor (or service provider). A data processing addendum is available on request at wardeye@odysseydevelopments.dev. We do not sell Customer Data and do not use it to train shared models unless you opt in separately and in writing.
6. Our property and feedback
We and our licensors own the Service, including software, models, designs and the Wardeye name and marks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription or trial. You may not copy, resell, reverse engineer (except where law permits), or attempt to extract model weights or source code. If you send feedback, we may use it without obligation to you.
The Service includes third-party and open-source components under their own licences, and some machine-learning components may carry non-commercial or other licence conditions that we are working to resolve before general commercial availability. Early-access features may be withdrawn or replaced as a result.
7. Early access and beta features
Wardeye is in early access. Beta features are provided for evaluation, may be inaccurate, incomplete or change without notice, and should not be relied upon as your only safeguard against fraud.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, ODYSSEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We do not warrant that Wardeye will detect any particular impersonation, deepfake, scam or fraud attempt, that results will be free of false positives or false negatives, or that the Service will be uninterrupted or error-free. See Disclaimers.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) ODYSSEY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, OR FOR FRAUDULENT TRANSFERS OR LOSSES ARISING FROM A THIRD PARTY’S CRIMINAL ACT, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (b) ODYSSEY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND US$100. Nothing in these terms limits liability that cannot be limited by law.
10. Indemnity
You will defend and indemnify Odyssey against third-party claims arising from your Customer Data, your failure to obtain required consents or give required notices, or your breach of these terms or the Acceptable Use Policy, except to the extent caused by our breach.
11. Suspension and termination
You may stop using Wardeye at any time. We may suspend or terminate access if you breach these terms, create risk or legal exposure, or fail to pay, or if we discontinue the Service (with reasonable notice where practical). On termination you may request an export of your records for 30 days, after which we delete Customer Data in line with the Privacy Policy. Sections that by nature survive (ownership, disclaimers, liability, indemnity, governing law) survive termination.
12. Governing law and disputes
These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Courts located in Florida have exclusive jurisdiction, except that either party may seek injunctive relief to protect intellectual property or confidential information in any competent court. If you are a consumer with mandatory rights in your country of residence, those rights are not affected.
13. Changes to these terms
We may update these terms. For material changes we will give notice in the app or by email at least 14 days before they take effect. Continued use after that date means you accept the updated terms.
14. General
These terms, with the Privacy Policy, Acceptable Use Policy and any order form, are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect. You may not assign these terms without our consent; we may assign them to an affiliate or successor. Failure to enforce a provision is not a waiver. Notices to us: wardeye@odysseydevelopments.dev.
